These Terms of Service (the "Terms") govern the use of the SmartReach web application and the related services operated by:

The application is reachable at smartreach.dev and its sub-domains (together, the "Service"). By creating an account, logging in, or otherwise using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
The Service is an internal business application used by SmartReach LLC, its team members, and its contracted clients to organize customer work. It is not a general-purpose consumer product and is not offered for open public sign-up. Its main functions are:
Access to the Service is granted by invitation to (a) employees and contractors of SmartReach LLC and (b) clients of SmartReach LLC for the duration of their engagement.
You must be at least 18 years old and authorized by your organization to use the Service. Accounts are personal; you are responsible for all activity carried out under your account and for keeping your login credentials and magic links confidential. Notify us at support@smartreach.dev without delay if you suspect unauthorized access.
Connecting a Google account is optional and is only ever initiated by you. If you connect one, the Service requests the following Google OAuth scopes:
.../auth/calendar.readonly — to read your existing calendar entries so that busy times are excluded when availability is calculated;.../auth/calendar.events — to create, update and cancel the appointment events that you or your invitees book through the Service;.../auth/userinfo.email — to show which Google account is connected and to match it to your Service account.We request read-only access wherever it is sufficient, and we only write events that originate from a booking or appointment made in the Service. We never delete or modify unrelated calendar entries.
SmartReach's use and transfer of information received from Google APIs to any other app adheres to the Google API Services User Data Policy, including the Limited Use requirements.
Specifically: Google user data is used only to provide and improve the user-facing calendar features described above. It is never sold, never used for advertising or ad targeting, never used to train generalized artificial-intelligence or machine-learning models, and never made available to humans to read unless you explicitly ask us to (for example for support), it is necessary for security purposes or to comply with applicable law, or the data has been aggregated and anonymized.
You may disconnect your Google account at any time in the calendar settings of the Service, or revoke access at myaccount.google.com/permissions. On disconnection we delete the stored OAuth tokens and stop all further calendar access. Details on how we handle personal data are set out in our Privacy Policy.
You agree not to:
You retain all rights to the data you enter into or connect to the Service ("Your Content"). You grant us a limited, non-exclusive licence to host, process, and display Your Content solely to operate the Service for you. You are responsible for having the legal basis to enter personal data of third parties (for example contacts and invitees) into the Service, and for the accuracy of that data.
Where we process personal data on behalf of a client, this takes place under a separate data processing agreement.
Access to the Service as part of a client engagement is governed by the individual agreement concluded with SmartReach LLC; the terms, prices, and cancellation rules stated there apply. Where the Service bills for attended appointments, the amounts, currency, and billing cycle shown at the time of purchase apply. Payments are processed by our payment provider; we do not store full payment card details. Internal use by SmartReach team members is free of charge.
We aim for high availability but do not warrant uninterrupted or error-free operation. Maintenance windows, third-party outages (hosting, Google, email delivery, payment providers), and force majeure events may temporarily restrict availability. Support is provided by email at support@smartreach.dev during normal business hours.
The Service integrates third-party providers, in particular Google (calendar synchronization and sign-in), our hosting provider, our transactional email provider, and our payment provider. Your use of those integrations is additionally subject to the respective provider's terms and privacy policy. We are not responsible for the availability or the acts and omissions of third-party providers.
The Service, including its software, design, texts, and trademarks, is owned by SmartReach LLC and protected by intellectual-property law. Subject to these Terms, you receive a non-exclusive, non-transferable, revocable right to use the Service for the duration of your account, solely for your own internal business purposes. No other rights are granted.
To the extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that calendar synchronization is free of delay or error; you remain responsible for verifying appointments that matter to you.
To the extent permitted by applicable law, SmartReach LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities. Our aggregate liability for claims arising from or relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for intent, gross negligence, injury to life, body, or health, or any other liability that cannot be excluded by mandatory law.
These Terms apply for as long as you have an account. You may stop using the Service at any time and request deletion of your account at support@smartreach.dev. We may suspend or terminate access if you materially breach these Terms, if your engagement with SmartReach LLC ends, or if required by law. After termination we delete or anonymize your data, subject to statutory retention obligations.
We may amend these Terms where necessary, for example because of changes to the Service or to legal requirements. We will announce material changes with reasonable notice, in-app or by email. Continued use of the Service after the changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-law rules. Mandatory consumer protection provisions of your country of residence remain unaffected. Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions is unaffected.
